Please read these Terms & Conditions ("Terms") carefully before using Convey Labs services. By accessing or using the Service, you agree to be bound by these Terms.

Acceptance of Terms

These Terms govern the agreement between you (the "Client", "you", or "your") and Convey Labs ("Convey Labs", "we", "us", or "our"). By signing up, accessing the dashboard, or using any of our voice, messaging, or ad-signal services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Definitions

Service
Voice agents, messaging agents (WhatsApp, RCS, SMS, Instagram), ad-signal optimisation, dashboards, and APIs provided by Convey Labs.
Client
Any organisation or individual who has registered to use Convey Labs services.
End User / Lead
The customer, prospect, or contact the Client communicates with through the Service.
Company
Convey Labs, with registered office at CBI Colony, Madhapur, Hyderabad 500033, Telangana, India.

Services

Convey Labs provides an AI-powered communication platform that helps businesses:

  • Place and receive voice calls in 22+ Indian languages
  • Engage customers across WhatsApp, RCS, SMS, and Instagram messaging
  • Send qualified conversion signals to advertising platforms such as Meta and Google
  • Track lead, conversation, and campaign analytics through a unified dashboard

The Service is offered as a subscription, on a pay-as-you-go basis, or under a custom enterprise agreement, as set out in your order form or invoice.

Eligibility & Account

You must be at least 18 years old and legally capable of entering into a binding contract under the laws of India to use the Service.

When you create an account, you agree to:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of your account credentials
  • Notify Convey Labs immediately of any unauthorised use of your account
  • Take responsibility for all activities performed under your account

Failure to comply may result in suspension or termination of your account.

Client Responsibilities

Convey Labs operates the Service on behalf of the Client. The Client retains full ownership and control over the data, leads, and contacts uploaded or processed through the Service.

You, the Client, are solely responsible for:

  • Lawfully collecting all lead and customer data uploaded into the Service
  • Obtaining valid consent from each End User before initiating communication, in accordance with applicable laws (including the Digital Personal Data Protection Act, 2023 of India and TRAI regulations where applicable)
  • Recording the timestamp, IP address, and source of consent wherever possible
  • Ensuring that the data shared with Convey Labs is accurate, complete, and lawfully obtained
  • Maintaining your own privacy notices to End Users that disclose the use of automated voice and messaging communication

Important: Convey Labs cannot independently verify the consent or lawful basis behind the data you provide. You agree that any liability arising from inaccurate, unauthorised, or non-consented data shared with the Service rests with you.

Data & Privacy

How we collect, use, and protect personal data is described in our Privacy Policy, which forms an integral part of these Terms.

The Client is the Data Fiduciary / Data Controller in respect of End-User data uploaded to the Service. Convey Labs acts as the Data Processor, processing such data strictly to provide the Service.

Payment & Billing

Service fees, billing frequency, and usage-based charges are set out in your order form, invoice, or pricing agreement.

  • All fees are exclusive of applicable taxes (including GST), which will be charged additionally
  • Invoices are payable within the timeframe stated on the invoice (typically 7 to 30 days)
  • Overdue amounts may attract late fees and/or service suspension
  • All fees are non-refundable unless stated otherwise in your agreement

Service Levels

We strive to keep the Service available 24×7. Planned maintenance, third-party outages (telecom carriers, WhatsApp Business Platform, Meta, Google), and force-majeure events may cause brief interruptions.

Specific uptime commitments and credits, if any, are set out in your Service Level Agreement (SLA) or Master Service Agreement (MSA).

Intellectual Property

All intellectual property in the Service — including software, models, voice technology (IRA Engine), dashboards, brand assets, and documentation — is owned by Convey Labs or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term. You may not copy, modify, reverse-engineer, resell, or sublicense the Service or any part of it.

Data, content, and recordings provided by you remain your property. You grant Convey Labs a limited license to use, store, and process such content solely to deliver the Service.

Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care it uses to protect its own confidential information, and not to disclose it to any third party except as permitted in writing or required by law.

Confidential information does not include information that is publicly available, independently developed, or already known to the receiving party.

Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind
  • Convey Labs is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill
  • Convey Labs' total aggregate liability for any claim arising from or relating to the Service is limited to the fees paid by the Client to Convey Labs in the three (3) months immediately preceding the event giving rise to the claim
  • Convey Labs is not liable for losses resulting from inaccurate, incomplete, or unlawfully obtained data provided by the Client
  • Convey Labs is not liable for outages or downtime caused by third-party providers (telecom carriers, WhatsApp, Meta, Google, ISPs, etc.)

Indemnification

The Client agrees to indemnify, defend, and hold harmless Convey Labs, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising out of or related to:

  • Inaccurate, incomplete, or unauthorised data uploaded to the Service by the Client
  • Communication sent to End Users without valid consent
  • Any breach by the Client of these Terms or applicable law
  • Misuse of the Service by the Client or persons acting under the Client's account

Termination

Either party may terminate the agreement:

  • For convenience, with the notice period set out in your order form or MSA
  • For cause, if the other party materially breaches these Terms and fails to cure the breach within 14 days of written notice
  • Immediately, if Convey Labs reasonably believes the Client is using the Service unlawfully or in a way that exposes Convey Labs to material risk

Upon termination, your right to use the Service ends. Convey Labs will provide a reasonable opportunity to export your data within thirty (30) days of termination, after which we may delete it in accordance with our data retention policy.

Force Majeure

Neither party will be liable for any failure or delay in performance caused by events outside its reasonable control, including natural disasters, pandemics, war, internet or telecom outages, government action, or third-party platform restrictions.

Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.

The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, for material changes, give you reasonable advance notice by email or in-app notification.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes.
